MC2020-28 Guidelines Governing the Organization and Recognition of :.

RCO-Regional Clustered Organization A recognized association of primary, secondary and tertiary cooperatives as well as union of cooperatives belonging to a specific cluster operating in the region , which purpose is to serve as consultative body of cooperatives in the regional level..

Article II – Legal Bases. Sec.4 par.(a),RA No. 11364. Powers, Functions and Responsibilities. Develop and Formulate, in consultation with the cooperative sector and other concerned institutions, appropriate regulations, standards, rules , orders, guidelines and /or circulars to implement the Act and RA. No.9520 to ensure the effective and sound operation of cooperatives; Sec.4 par.(z),RA No. 11364 Recognize sectoral apex organization and national alliance representing all types and categories of cooperatives wich shall function as the overall consultative and coordinating body with the Authority, for this purpose, the pertinent provision of RA 9520 are hereby amended accordingly, and the Authority shall issue the necessary IRR this provision;.

The Authority, the cooperative sector, and the academe shall formulate guidelines for the implementation of the partnership that may give rise to the recognition of apex organization and national alliance representing all types and categories of cooperatives, as provided for under Sec.4 (z) of this Act, that shall function as the overall consultative and coordinating body with the Authority..

Article VII -RCO. Sec 1. Composition of Regional Clustered Organizations(RCO) There shall be automatic membership of all qualified primary cooperatives, federations of cooperatives to the cluster based on their authorized business activities in their Articles of Cooperation. Unions shall join the education and advocacy cluster. In the case of sectoral cooperatives unions, they shall join the cluster where the sector belongs. The RCOs Shall be composed of one (1) authorized representative from each of the cooperatives to the concerned cluster. Cooperatives whose area of operation is national or inter-regional, shall join in the region where the principal office is located. Multipurpose cooperative may join more than one (1) cluster depending on the business activities they are engage in..

6 Regional Clustered Organizations (RCO). 1. Credit and Financial Services, Banking, Insurance, and Credit Surety Fund or Finance Cluster; 2. Consumers, Marketing, Producers, and Logistics Cluster; 3. Human Services: Health, Housing, Workers, and Labor Service or Human Services Cluster; 4. Education, Advocacy, and Unions Cluster; 5. Agriculture, Agrarian, Aquaculture, Farmers, Dairy, and Fisherfolk or Agriculture Cluster; and 6.Public Utilities: Electricity, Water, Communications, and Transport or Public Utilities Cluster..

Section 2. Functions of RCO. As the overall consultative and coordinating body with the Authority, the RCO shall have the following functions: To represent in the SAO the clusters in the region; To promote and uphold the cooperative principles and values; To conduct forums, consultations and such other necessary activities pertaining to the cluster in the region and to collect reasonable fees therefor as may be permitted by the Authority; To submit to the Authority reports on every activity conducted or participated; and To make policy proposals and engage in negotiations to protect member’s livelihoods, jobs and local communities..

Accountability of Elective Officers. The elective officers shall be accountable for their actions to the respective organization and its members. Issues and concerns that may be raised by any member of the organization shall be ventilated within the organization..

Vacancy in an Elective Office. Any vacancy in an elective office, other than by expiration of term, must be filled by the vote of at least a majority of the remaining elective officers, If still constituting a quorum; otherwise, The vacancy must be filed by the general assembly in a meeting called for the purpose. Election Procedures and Guidelines.

QUORUM REQUIREMENTS. RCOs: 25% of qualified cooperatives SAOs: 50% + 1 NAC: 50% + 1, provided that all clusters are represented.

MC 2021-05. Section 2. Initial Organizations of Regional Clustered Organizations(RCOs) . 1. Regional Clustered Organizations(RCOs) shall be organized in all regions. A. ELECTION PROCEDURES (RCO). 1. The election of officers for the Regional Clustered Organizations shall be supervised by the Sectoral Apex Organizations, in coordination with CDA Regional Offices acting as observers. 2. The incumbent RCO Presidents shall lead the election for each cluster. 3. After the new RCO President is elected, they shall oversee the organizational meeting. 4. An inventory of primary, secondary, and tertiary cooperatives shall be sourced from the Cooperative Development Authority and disseminated to all RCOs through the SAOs..

ELECTION PROCEDURES (RCO). 5. RCOs are responsible for inviting qualified cooperatives to attend organizational meetings. At least five (5) days before the meetings, cooperatives must submit their official representatives, who are required to present a board resolution authorizing their representation. 6. Multipurpose cooperatives are to identify their official representatives for each business activity. However, a multipurpose cooperative can just run for a position within the cluster corresponding to its primary business activity. 7. Newly registered cooperatives may participate in the meetings as observers. 8. Meetings may be conducted virtually, physically/face-to-face, or a combination of both. 9. Organizational meetings must adhere to the agenda outlined in these guidelines..

ELECTION PROCEDURES (RCO). 11. The election of officers shall follow the procedures outlined in these guidelines. 12. Once organized, the elected officers shall submit an application for recognition to the CDA regional office. 13. Officers can only be elected once. The Presidents of the RCOs shall automatically represent the organization in the SAO..

ELECTION OF OFFICERS AND VOTING PROCEDURES. A. Nominations 1. Candidates for election of officers shall be through nominations during the meeting. Nominations can be virtual, face to face or a combination of both. 2. Those nominated may decline the nomination and said nominee(s) shall not be included in the ballot. If a nominee is eligible for the office and does not expressly decline such nomination, he/she shall be considered as a candidate. 3. For multipurpose cooperatives, the representative can only be nominated as an officer in the cluster where they have their main line of business as determined by the CDA regional office on the basis of the submitted financial statements and/or Cooperative Annual Progress Report..

B. Conduct of Election. 1. Election may be virtual or through electronic means or face to face or a combination of virtual and face to face. 2. The Presiding Officer shall declare the floor open for nomination for each position. 3. Anyone can move to close the nomination and after it is seconded, the election shall proceed. If there is only one nominee, he/she shall be proclaimed as the winning candidate. In case of two or more nominees, casting of votes shall proceed..

B. Conduct of Election. 4. The incumbent officers (except the nominees) or a team assigned by the incumbent officers (of RCOs, SAOs, & NAC) shall canvass the votes right after casting. Counting and tallying shall follow thereafter and shall be shown to the members. 5. In case of a tie, the winner shall be determined by drawing lots. 6. If there is no objection to the results, the Presiding Officer shall proclaim the winning candidate/s. 7. In case of protest, the same shall be decided by the body during the said meeting..
