[Audio] Let's start with a definition. Confidential information means, data, know-how, and other privileged information that has not been publicly released, published, or patented..
[Audio] As University employees, we signed a Confidentiality Agreement, also referred to as a Nondisclosure Agreement (NDA) upon employment stating that we will: Keep our clients' confidential information in confidence as specified in the NDA or other contract. Keep confidential information that is generated at the EERC in confidence. Not disclose confidential information to anyone except to our agents, employees, and students as may be necessary to perform the research obligations and other EERC business activities, and in accordance with any specific NDA or contract. Continue keeping confidential information in confidence after employment ends..
[Audio] The most common purpose for NDAs at the EERC and EERC Foundation is to disclose information for the purpose of evaluating and discussing potential research projects. Most research contracts with commercial clients contain confidentiality clauses..
[Audio] Ideally, confidential information is disclosed in written form and marked appropriately. However, some contracts allow protection for verbal disclosures. Typically, verbal disclosures need to be reduced to writing within 30 days to remain confidential..
[Audio] NDAs typically contain a disclosure period, the time frame when confidential information can be disclosed, and will specify the length of time (typically 6 years) for confidential information to be held in confidence after the disclosure period ends..
